PropertyVIEW® Content Verification Services Agreement

This Content Verification Services Agreement (the "Agreement") sets forth the terms and conditions under which you ("Client") have agreed to receive Content Verification Services from HotelPORT Inc., a Delaware corporation ("HotelPORT" or "Provider"). By opting into our services, you agree to comply with and be bound by the following terms.

1. Services:
HotelPORT agrees to perform PropertyVIEW® Content Verification Services ("Services") as described herein. Services include verifying that the Client's content displayed on third-party websites accurately corresponds to the content displayed on the Client's designated websites. HotelPORT will also contact third-party websites to correct any discrepancies and conduct periodic audits to ensure ongoing accuracy.

2. Confidentiality:
Both parties may have access to confidential information ("Confidential Information") pertaining to business methods, marketing strategies, pricing, and more. Each party agrees to maintain the confidentiality of such information and not disclose it to any third party without proper authorization. Confidential Information does not include information that is publicly known, independently developed, or rightfully received from a third party without confidentiality restrictions.

3. Payment Terms:
Client agrees to pay HotelPORT a fee as determined at the time of service initiation. Detailed and accurate invoices will be sent by HotelPORT upon commencement of Services, and all undisputed invoices are payable upon receipt. Late payments may incur a charge of 5% per month plus applicable collection costs. All fees are fully earned when paid and are non-refundable.

4. Warranties:
HotelPORT represents and warrants that it will provide the Services in a workmanlike and professional manner in accordance with prevailing industry standards and applicable laws.

5. Indemnification:
Each party (the "Indemnifying Party") agrees to indemnify, hold harmless, and defend the other party, its affiliates, and their respective agents, directors, officers, representatives, employees, successors, and assigns (the "Indemnitee") from any third-party claims or losses arising from a breach of this Agreement.

6. Term and Termination:
This Agreement will commence upon the Client's acceptance and will continue until terminated by either party. Either party may terminate this Agreement upon providing written notice to the other party.

7. Limitations on Liability:
Except for liability arising out of or related to breach of confidentiality or third-party indemnification claims, neither party will be liable for any indirect, special, incidental, or consequential damages however caused and under any theory of liability.

8. Miscellaneous:
a. Waiver: No waiver of any provision shall be effective unless in writing and signed by the waiving party.
b. Severability: If any provision is held invalid, the remainder of this Agreement shall continue in full force and effect.
c. Relationship of the Parties: Nothing herein shall be construed to create a partnership, joint venture, or agency relationship.
d. Non-Exclusive: Client acknowledges that HotelPORT may offer similar services to other clients.
e. Governing Law and Venue: This Agreement is governed by the laws of the State of Florida. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located in Miami-Dade County, Florida, and the parties hereby consent to the personal jurisdiction and venue therein.
f. Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, both written and oral.

By opting into HotelPORT Inc. PropertyVIEW® Content Verification Services, the Client acknowledges that they have read, understood, and agreed to be bound by this Agreement. If the Client has any questions or needs further clarification, they are advised to contact HotelPORT before proceeding.
